This is a courtesy translation into English of the Términos de Uso of principiosvoluntarios.cl, in the version last updated on 4 October 2026, published in Spanish at principiosvoluntarios.cl/terminos. Only the Spanish version is binding. In the event of any discrepancy, inconsistency or difference in interpretation between the two versions, the Spanish version prevails. References to and quotations from Chilean legislation and other legal instruments are unofficial translations. If the Spanish version is updated, the updated Spanish version prevails over this translation, even before this translation is updated. Acceptance under section 1 is acceptance of the Spanish versions of these Terms and of the Privacy Policy.
1. Acceptance
These Terms of Use and the Privacy Policy of the principiosvoluntarios.cl platform are expressly accepted on the screen shown at the first sign-in to the members’ panel—or, if an earlier version was accepted, at the next sign-in (see section 12)—and before any of its tools is used. Mere access to or use of the Platform does not constitute acceptance. Without that express acceptance, the members’ panel cannot be used. Anyone who does not accept may nonetheless, from that same screen, download their data, suspend its processing or close their account.
Acceptance is given by electronic means, under the terms of Law No. 19,799 on electronic documents and electronic signatures, and is recorded with its date and the version of the documents that was accepted, as a record of consent.
2. Description of the service
The Platform is the digital tool of the Chile Working Group on the Voluntary Principles on Security and Human Rights. It is administered by Fundación Empresas Indígenas in its role as Executive Secretariat, and offers:
- The Group’s document library (sessions, minutes, presentations).
- Calendar of working sessions.
- The Group’s member directory.
- Internal wall of posts and comments between members, and direct messaging between them.
- News repository: monitoring of relevant news of the member organizations of VPI Global (corporate, NGO, government and observers) and of related media outlets, by means of RSS feeds and automated AI classification. Each news item indicates whether it comes from the member organization’s own publication or from external media coverage.
- Query assistant that answers, with the support of artificial intelligence, questions about the framework of the Voluntary Principles on the basis of the news in the repository and the documents in the library.
- Personalized weekly summary (briefing) sent by email according to the member’s interest profile, which can be deactivated at any time.
- National and international regulatory framework applicable to the VPSHR.
- Training resources and tools of the VPI framework.
The service is provided ‘as is’, with incremental improvements. The Secretariat may modify, suspend or discontinue features whenever it deems necessary.
3. Access by invitation
The Platform operates on the principle of closed, invitation-only access. Only natural persons designated by the Executive Secretariat as members, observers or administrators of the Group may register. There is no registration open to the public.
4. User accounts
The member undertakes to:
- Provide truthful information and keep it up to date.
- Not impersonate others or create accounts with false identities.
- Safeguard the confidentiality of the email account they use to access the Platform.
- Notify the Secretariat of any unauthorized access to their account.
- Not transfer their account to third parties without the written authorization of the Secretariat.
5. Prohibited conduct
The following are strictly prohibited:
- Carrying out reverse engineering, unauthorized scraping or attempts to exploit vulnerabilities.
- Uploading content protected by third-party rights without authorization (community documents, photographs).
- Reusing the member directory for commercial, political or dissemination purposes unrelated to the Working Group.
- Externally distributing minutes, presentations or documents marked as confidential without the authorization of the person responsible for the document.
- Publishing content that is defamatory, discriminatory or that violates human rights.
- Any use that violates Law No. 21,459 on computer crimes.
6. Intellectual property
The Platform respects the applicable intellectual property rights in accordance with Law No. 17,336:
- User content: the member retains all rights to the documents, comments and contributions they upload. The member grants the Secretariat a limited, non-exclusive license to host them, distribute them to the Group and archive them.
- Platform content: the software, brand, design, category taxonomy and methodologies are the property of the Secretariat or are used under license.
- News from external sources: the headlines, summaries and links to journalistic or third-party sources are used under the right of quotation for the purpose of public information about the Voluntary Principles. The Platform visually distinguishes between VPI member organizations’ own publications (content produced directly by the organization) and external media coverage (press articles or other sources that deal with the organization or with the VPSHR framework). In both cases the original source is attributed and linked. If a source requests the removal of its content, we will proceed accordingly within no more than 7 calendar days.
- AI-generated summaries: these are derivative works marked as such. They do not replace the original text and are always accompanied by the link to the full article at the source.
7. AI-generated content
The Platform uses artificial intelligence models from Azure OpenAI (currently from the GPT-4o family, or the models that succeed them) to classify and summarize the news in the repository, generate the personalized weekly summary (briefing), index the text of the library documents and operate the query assistant, which answers on the basis of that news and those documents. The data this involves and where it is processed are set out in the Privacy Policy (sections 4 and 5). AI-generated content—summaries, briefings and responses from the assistant—may be inaccurate, incomplete, out of date or biased. It does not constitute legal or technical advice, nor an official recommendation of the Group. Before any public dissemination or significant decision, the content must be validated by a human and checked against the original source.
8. About the VPSHR framework
The information available on the Platform regarding the framework of the Voluntary Principles on Security and Human Rights is intended for dissemination, training and monitoring purposes. It does not replace the consultation of Indigenous peoples, which ILO Convention 169 imposes on the State, due process before competent authorities, or the specialized legal advice that each company, organization or community may require in specific cases.
9. Limitation of liability
The Platform is provided without express or implied warranties beyond those required by Chilean law. The liability of Fundación Empresas Indígenas toward the members is limited to the greater of: (a) the amounts actually paid by the member in the preceding 12 months (currently CLP 0, given that the service is free of charge), or (b) CLP 500,000. This limitation does not apply to cases of willful misconduct (dolo) or gross negligence (culpa grave).
10. Suspension and termination
The Secretariat may suspend or terminate a member’s access in the event of a breach of these Terms, with prior notice where possible. The member may close their account at any time directly from ‘Mi cuenta’ (My account) in their panel—with the option of also deleting their posts and comments from the wall—or, if they prefer assistance, by writing to contacto@principiosvoluntarios.cl. What happens to the rest of their data—direct messages, library documents and attached files, among others—is set out in the Privacy Policy (section 6).
11. Governing law and jurisdiction
These Terms are governed by the law of the Republic of Chile. An attempt will first be made to resolve any dispute through direct negotiation for a period of 15 calendar days. If no agreement is reached, the parties may submit it to mediation or arbitration at the Santiago Arbitration and Mediation Centre (CAM Santiago). Failing that, the parties submit to the jurisdiction of the ordinary courts of justice of Santiago.
This clause does not apply to the exercise of the rights of the data subject (access, rectification, erasure, objection, portability and blocking [suspension of processing]), which is governed by the Privacy Policy and by the personal data protection law, nor does it limit the avenues of complaint available to the data subject under that law.
12. Amendments
These Terms may be amended. Each version is published on the Spanish page of these Terms with its date of last update and members are informed of it by email, with the advance notice indicated in the Privacy Policy (section 11) where applicable, except for anyone who has the processing of their data suspended, who, while the suspension is in force, does not receive that notice by email. Every new version of these Terms or of the Privacy Policy is expressly accepted again at your next sign-in: the Platform will ask you to accept the current version before continuing. Anyone who accepted an earlier version cannot use the members’ panel or its tools until they accept the current version; they continue to appear in the member directory as before and to receive the usual emails. As regards the processing of your data, the Platform continues to operate as before: this version describes processing that was already taking place and that the previous version did not set out in detail.
